These Terms of Service ("Terms") govern your access to and use of the website at deepbyte.ca and any services, tools, or content we make available through it (together, the "Services"), operated by DeepByte ("DeepByte", "we", "us"). By using the Services you agree to these Terms. If you don't agree, please don't use the Services.
DeepByte is a studio that designs, builds and operates AI automation, infrastructure, apps and software. You can reach us any time at hello@deepbyte.ca.
You agree to use the Services lawfully and not to: misuse, disrupt, or attempt to gain unauthorized access to the Services or related systems; probe or scan for vulnerabilities without our written permission; scrape, harvest, or overload the site; submit unlawful, infringing, harmful, or misleading content; or impersonate any person or entity. We may suspend or limit access that we reasonably believe is abusive, automated, or harmful.
The website may offer interactive AI features (for example, a live console and an AI "architect" that drafts plans). These are provided for general information and scoping only. Their output may be inaccurate or incomplete, does not constitute professional, legal, financial, or technical advice, and is not a binding offer or quote. Don't submit confidential, sensitive, or regulated information through them. Your use of these features is also subject to fair-use limits and may be unavailable at times.
Information on the website, including service descriptions, packages, timelines and indicative pricing, is for general information and is not an offer or a binding quote. Any work we do for you is governed by a separate written agreement (such as a proposal, statement of work, or services agreement) signed by both parties. If anything in that signed agreement conflicts with these Terms, the signed agreement controls for that engagement.
The website and its content, including text, design, graphics, logos, code, and the DeepByte name and marks, are owned by DeepByte or our licensors and are protected by law. We grant you a limited, personal, non-exclusive, non-transferable licence to view the website for its intended purpose. You may not copy, modify, distribute, or create derivative works from it without our permission. Ownership of any deliverables we create for a client is addressed in that client's separate written agreement.
If you apply for a role through the website (for example, at /apply):
The Services may rely on or link to third-party providers (for example, AI model and voice providers, analytics, and hosting). We're not responsible for third-party websites or services, and your use of them is governed by their own terms and policies.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any information or AI output will be accurate or reliable.
To the fullest extent permitted by law, DeepByte and its people will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Services. To the extent we are found liable for anything relating to the Services (as opposed to a separate signed agreement), our total aggregate liability is limited to CAD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold DeepByte harmless from claims, damages, and reasonable expenses arising from your misuse of the Services or your breach of these Terms.
Our Privacy Policy explains what we collect and how we handle it, and forms part of these Terms.
We may update these Terms as the Services evolve. We'll change the "last updated" date above, and material changes take effect when posted. Your continued use of the Services means you accept the updated Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute that isn't subject to a separate signed agreement.
